- The Act and the FSC say an application to incorporate may be filed only by the proposed registered agent. - Local requirements
- A registered office and a registered agent in the Virgin Islands at all times. The memorandum and articles, register of members, register of directors and filed documents are kept at the registered agent's office. The registers of directors and members and the beneficial ownership information are filed with the Registrar.
- Annual filings
- (1) The annual fee is paid to the Registrar through the registered agent. The due date depends on the incorporation half-year; the FSC notes that fees for 'second half' companies are due by 30 November. (2) An annual financial return (simple balance sheet and income statement) is filed with the registered agent within nine months after financial year-end (BC Act s.98A, BVI Business Companies (Financial Return) Order 2023). If a company fails to file, the agent must notify the Registrar within 30 days. (3) An economic substance declaration is filed via the registered agent on VIRRGIN within 6 months after the end of each financial period (ITA). (4) Changes to the registers of directors and members and to beneficial ownership information are filed with the Registrar.
- Beneficial owners
- Since 2 January 2025, BVI companies file beneficial ownership information with the Registry of Corporate Affairs (VIRRGIN). The register is not public. From 1 April 2026, persons who show a legitimate interest (AML/CFT purposes) may apply for limited access, and beneficial owners may apply for an exemption from disclosure.

- Under the Economic Substance (Companies and Limited Partnerships) Act, a company carrying on a 'relevant activity' (banking, insurance, fund management, finance and leasing, headquarters, shipping, holding, intellectual property, distribution and service centre) must meet substance requirements in the BVI. Every entity files an annual economic substance declaration through its registered agent, on VIRRGIN since 2 January 2026.
